1. Introduction and Acceptance
Welcome to the Madventurefin Platform (“Platform”), operated by Madventurefin Global LLC and developed by Dr. Marius Joubert (“we,” “us,” “our”). By accessing or using the Platform, you (“User”) agree to be bound by these Terms of Use (“Terms”), as well as our [Disclaimer] and [Privacy Policy].
These Terms apply to all visitors, users, sponsors, and impact innovators (“MAD Impact Innovators”) who use the Platform. If you do not agree with these Terms, you must not use the Platform.
Madventurefin is designed to:
Support MAD Impact Innovators in building and funding SDG-aligned projects
Enable structured, milestone-based capital deployment through blockchain-enabled sponsorship agreements
Offer a secure and transparent project management and enablement environment
We may update these Terms periodically. Continued use after any changes constitutes acceptance of the new Terms.
2. User Eligibility and Accounts
2.1 Eligibility
To use the Platform, you must:
Be at least 16 years of age
Have legal capacity or parental consent if a minor
Be legally permitted to access this Platform in your country
2.2 KYC Verification
All users (including sponsors and innovators) must complete our Know Your Customer (KYC) process. This may include:
Government-issued ID
Proof of address
Recent photo
Organisation details (for institutional users)
We reserve the right to approve, suspend, or terminate user access based on KYC outcomes.
2.3 Account Responsibilities
You are responsible for:
Maintaining up-to-date and accurate information
Securing your password and access credentials
All actions taken via your account
3. Platform Use and Content
3.1 Purpose
Madventurefin is an execution-first sponsorship platform. It is not an investment advisory service, broker-dealer, or fund manager.
We:
Connect MAD Impact Innovators with capital via sponsorships (not investments)
Use smart contracts to execute SAFE agreements (for-profits) or grant agreements (non-profits)
Track impact via milestone verification tools
We do not offer profit-based returns, equity participation, or investment advice.
3.2 User-Generated Content
Users may submit project descriptions, impact metrics, plans, media, and other material (“User Content”). You retain ownership of your content, but by submitting it, you grant Madventurefin a non-exclusive, royalty-free, global licence to use, display, reproduce, and analyse it to operate and improve the Platform.
3.3 Prohibited Activities
You may not:
Use the Platform to submit misleading, harmful, illegal, or infringing content
Engage in spamming, phishing, or malware distribution
Attempt to reverse-engineer or bypass the blockchain execution system
Misrepresent your identity or KYC information
4. Intellectual Property
4.1 Ownership
All intellectual property rights in the Platform’s design, functionality, software, and underlying code are owned by Madventurefin or its licensors. User Content remains the property of the original contributor.
4.2 Trademarks
“Madventurefin” and related marks are trademarks of Madventurefin Global LLC. You may not use these without written permission.
4.3 Feedback
Any suggestions, improvements, or feedback provided may be used by us royalty-free.
5. Disclaimers and Limitations
5.1 No Financial Advice
Nothing on the Platform constitutes financial, investment, or legal advice. Sponsorships facilitated through the Platform:
Are not investments
Do not offer returns
Are not governed by securities regulations
You are responsible for your own due diligence and decision-making.
5.2 MVP & Beta Disclaimer
The Platform is in Minimum Viable Product (MVP) stage. Features are under development and may change without notice. We do not guarantee uptime, completeness, or final delivery of all tools.
5.3 Limitation of Liability
To the fullest extent permitted by law:
Madventurefin is not liable for losses, damages, or claims arising from Platform use
No warranties are made regarding accuracy, availability, or success of funding
You use the Platform entirely at your own risk
5.4 Indemnification
You agree to indemnify and hold harmless Madventurefin, its officers, team, and affiliates against any claim related to your misuse of the Platform, violation of these Terms, or infringement of third-party rights.
6. Termination
6.1 Termination by Us
We may suspend or terminate your account without notice if you:
Violate these Terms
Submit fraudulent or harmful content
Attempt to exploit the platform
6.2 Termination by You
You may delete your account at any time via the Platform settings. Data may be retained for legal or audit reasons.
7. Governing Law & Dispute Resolution
7.1 Governing Law
These Terms are governed by:
Delaware law (for Madventurefin’s legal structure)
South African law for users and pilots operating within SA
7.2 Disputes
Any dispute shall first be resolved by good faith mediation. If unresolved, it may be submitted to arbitration in either Delaware (US) or South Africa, depending on the user’s primary location.
7.3 Class Action Waiver
You waive the right to participate in class actions. Disputes must be resolved on an individual basis.
8. Changes to Terms
We may revise these Terms at any time. If changes are material, we will notify you by email or platform notice. Continued use constitutes acceptance.
